Edward R. Culhane is a seasoned transactional attorney with hands-on experience running and managing businesses.
Ed’s clients include venture capital funds, private equity funds, family offices, angel investors and real estate investors. Ed also represents entrepreneurs and business owners at all stages of formation, funding, growth and exit. Ed’s clients frequently look to him as their “on call” general counsel and business advisor for all of their legal matters.
Ed’s extensive legal experience gained while practicing law at a large law firm and as in house counsel includes company formation, design and implementation of complex corporate structures, raising and deploying growth capital, commercial loans, distressed transactions and work-outs, mergers and acquisitions, joint ventures, shareholder disputes, corporate governance, employment matters, equity compensation plans, domestic and international distribution arrangements, software and technology development, real estate syndications, intellectual property protection and licensing, as well as drafting nearly any type of commercial contract you can imagine.
While Ed has broad business and legal experience across many industries, he has significant knowledge and experience in securities offering, real estate syndications, specialty food, software development, fin tech, industrial hemp and state-legal cannabis industries.
After Law School Ed clerked for the Hon. Donald P. Lay of the 8th Circuit United States Court of Appeals in St. Paul, Minnesota. Ed practiced law at a large law firm for 13 years focusing on private equity, venture capital, real estate syndications, mergers and acquisitions, corporate governance, intellectual property transactions and complex commercial transactions. Ed helped launch and was General Counsel for the celebrity boxer Mike Tyson’s cannabis company, Tyson Ranch, located in Los Angeles.
Ed has a BA, cum laude, in Political Science from the University of Minnesota and a JD, summa cum laude, from William Mitchell College of Law.
Ed is admitted to practice law in California, Colorado, Minnesota, Wisconsin and before the United States Court of Appeals for the Eighth Circuit.
Ed lives in beautiful Marine on Saint Croix, Minnesota. Ed enjoys outdoor recreation and spends way too much time hunting pheasants with his yellow labs Flap Jack and Gritts.
Ed proudly served as an enlisted infantryman in the United States Army Reserve and was selected as the United States Army Reserve Soldier of the Year in 1990.
Ed was named to the Minnesota Rising Star list in 2013 by Super Lawyers magazine.
